  1. GENERAL INFORMATION

1.1 About the Company

NOVAREL SOLUTIONS LIMITED ("Company", "we", "us", "our") is a company incorporated exclusively in Ireland in accordance with the Companies Act 2014. The Platform is operated by this legal entity and provides a subscription-based digital service for adult content, including fetish content.

Any address in Romania used in connection with the Company's activities is solely a correspondence, administrative, or tax-related address, as applicable, and does not constitute the Company's registered office or legal seat.

1.2 Acceptance of These Terms

By accessing, registering for, browsing, or using our platform (the "Platform" or the "Service"), you confirm that:

  • you are at least 18 years old;

  • you have full legal capacity to enter into a binding agreement;

  • you have read, understood, and agree to be bound by these Terms and Conditions in full;

  • you comply with all applicable laws and regulations in your jurisdiction.

If you do not agree to these Terms and Conditions, you must not use the Platform.

1.3 Changes to These Terms

We reserve the right to modify, update, or amend these Terms and Conditions at any time, including for legal compliance, security, functionality, operational, or commercial reasons. Where material changes are made, we will make reasonable efforts to notify you through the Platform or by email.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms.

  1. DEFINITIONS

"User" means any person who accesses or uses the Platform.

"Subscriber" or "Fan" means a User who pays to access a Creator's content.

"Creator" means a User who publishes, distributes, or monetizes content on the Platform.

"Content" means any material uploaded, transmitted, published, or otherwise made available on the Platform, including text, images, videos, audio, livestreams, messages, and other digital materials.

"Subscription" means recurring paid access to a Creator's content.

"Tip" means a voluntary payment made by a Fan to a Creator.

"PPV" or "Pay-Per-View" means premium content made available for an individual payment.

"Platform Fee" means the percentage retained by the Platform from Creator earnings, namely 30%.

"KYC" means the identity, age, and, where applicable, additional verification process required for legal, security, anti-fraud, compliance, or payment-related purposes.

"Payment Processor" means any third-party provider used for processing payments, withdrawals, anti-fraud checks, or related financial operations.

  1. ELIGIBILITY AND REGISTRATION

3.1 Age Requirement

The Platform is intended exclusively for individuals who are at least 18 years old. Access to, use of, account creation on, or publication of content on the Platform by minors is strictly prohibited.

3.2 Registration Process

To create an account, you must provide accurate, complete, and up-to-date information, including:

  • a valid email address;

  • a secure password;

  • your date of birth;

  • any other information we may reasonably request during registration.

You are responsible for ensuring that the information you provide remains accurate and current.

3.3 Identity Verification for Creators

All Creators must complete a KYC verification process before they may monetize content or receive payouts through the Platform. As part of this process, we may request, as applicable:

  • a valid government-issued identity document, such as an identity card, passport, or driver's license;

  • a selfie, video selfie, biometric verification, or another form of facial verification;

  • proof of address;

  • tax information;

  • banking or payout-related information.

We reserve the right to request additional documents, periodic reverification, or manual review, including for fraud prevention, legal compliance, child protection, user safety, payment processor requirements, or tax and reporting obligations.

If KYC verification is not successfully completed, Creators may not receive payouts and access to certain Platform features may be restricted or suspended.

3.4 Account Security

You are responsible for:

  • maintaining the confidentiality of your password and login credentials;

  • all activities carried out through your account;

  • promptly notifying us of any unauthorized use or security incident affecting your account.

We may implement additional security measures, including two-factor authentication, identity reverification, credential resets, or temporary account suspension where we reasonably believe there is a security or fraud risk.

  1. USER TYPES AND NATURE OF THE SERVICE

4.1 Nature of the Platform

The Platform acts as a technology intermediary that enables Creators to publish and monetize digital content and allows Fans to purchase access to such content, including through subscriptions, tips, PPV content, private messaging, and livestreaming.

Except where expressly stated otherwise, the Company is not the author, producer, publisher, or co-owner of Creator Content and does not guarantee the quality, legality, authenticity, accuracy, or availability of any Content offered by Creators.

4.2 Subscribers / Fans

Fans have the right, subject to payment and compliance with these Terms, to:

  • access the content of Creators to whom they are subscribed;

  • send tips to Creators;

  • purchase PPV content;

  • use private messaging where available and enabled by the relevant Creator;

  • view livestream sessions where such functionality is available.

Fans must:

  • pay all applicable amounts for content and services they access;

  • respect the intellectual property rights of Creators and the Company;

  • not copy, record, distribute, resell, share, or exploit Content outside the Platform without authorization;

  • maintain lawful and respectful conduct toward Creators and other Users.

4.3 Creators

Creators have the right, subject to compliance with these Terms and any applicable policies, to:

  • publish and monetize Content;

  • set prices for subscriptions and PPV content, within the limits permitted by the Platform;

  • receive tips;

  • communicate with Fans;

  • host livestream sessions where such functionality is available.

Creators must:

  • complete KYC verification and any reverification requested by us;

  • own or control all rights necessary for the Content they publish;

  • ensure that all persons depicted in Content are at least 18 years old and have provided valid, documented consent;

  • comply with all applicable laws relating to adult content, user safety, data protection, taxation, consumer protection, and intellectual property;

  • pay all taxes and duties applicable to income earned through the Platform;

  • accept the Platform Fee and any other legally disclosed fees, deductions, or adjustments.

  1. PERMITTED AND PROHIBITED CONTENT

5.1 Permitted Content

The Platform permits adult content, including fetish content, only where all of the following conditions are met:

  • all persons depicted are at least 18 years old at the time the Content was created and published;

  • the Content is created, owned, published, and monetized lawfully;

  • the Creator holds all rights, licenses, approvals, and consents required for the Content;

  • the Content complies with these Terms and all applicable Platform policies.

5.2 Creator Warranties

By publishing any Content, the Creator represents and warrants that:

  • every person depicted or audible in the Content was at least 18 years old at the time the Content was produced;

  • the Creator has obtained the informed, express, and valid consent of all persons depicted;

  • the Creator holds all rights necessary to publish, distribute, and monetize the Content;

  • the Creator will provide, upon request and without undue delay, documentation verifying age, identity, consent, and ownership of rights.

5.3 Strictly Prohibited Content

The following categories of content or activities are strictly prohibited and may result in immediate removal of Content, suspension or termination of the account, and, where appropriate, reporting to authorities, payment processors, or other relevant third parties:

  • any material involving minors, including child sexual abuse material, any sexualized depiction of minors, or any content suggesting or promoting the exploitation of minors;

  • non-consensual intimate or sexual content, including revenge porn, hidden recordings, secretly captured material, non-consensual deepfakes, or manipulated content published without authorization;

  • extreme violence, torture, mutilation, serious bodily harm, or content promoting suicide or self-harm;

  • sexual violence, sexual assault, coercion, sexual exploitation, or human trafficking;

  • prostitution, facilitation of sexual services for payment outside the Platform's permitted functionality, pimping, or similar illegal activity;

  • content depicting, promoting, or suggesting incest, bestiality, or any relationship prohibited by law;

  • hate speech, threats, discrimination, terrorism, extremism, or promotion of violence based on protected characteristics;

  • the sale, promotion, or facilitation of drugs, weapons, illegal goods, or other criminal activities;

  • fraud, deception, phishing, identity falsification, payment system manipulation, or abuse of Platform functions;

  • any content infringing intellectual property rights, image rights, privacy rights, or any other rights of third parties.

5.4 Content Moderation

Content may be subject to automated and human moderation. We reserve the right to remove, restrict, block, demonetize, limit visibility of, or otherwise take action against any Content or account where we reasonably believe there has been a violation of these Terms, Platform policies, payment processor requirements, or applicable law.

Where required by law, including under applicable digital services legislation, we may provide the affected user with information regarding the reasons for our decision and access to an internal complaint or appeal process.

  1. PAYMENTS, FEES, AND MONETIZATION

6.1 Fee Structure

The following monetization structure applies to eligible revenue generated through the Platform:

  • Platform Fee: 30% of all Creator revenue;

  • Creator Revenue: 70% of eligible amounts derived from subscriptions, PPV content, and tips.

We may withhold, deduct, reserve, or adjust additional amounts where necessary for taxes, banking charges, payment processing costs, chargebacks, fraud, compliance, disputes, refunds, or other circumstances permitted by law and these Terms.

6.2 Payment Methods

Payments may be processed through third-party providers and may include, depending on availability:

  • credit or debit cards;

  • bank transfer;

  • electronic wallets or other payment methods accepted by the Platform.

The availability of particular payment methods may vary depending on jurisdiction, risk profile, compliance requirements, third-party processor availability, or other operational factors.

6.3 Subscriptions

Subscriptions are generally recurring and automatically renew at the interval disclosed at the time of purchase unless cancelled before the next billing date.

Subscription pricing is determined by the Creator, subject to any technical or commercial limits imposed by the Platform.

You may cancel a subscription from your account settings. Cancellation takes effect for the next billing cycle and does not generally entitle you to a refund for the current billing period, except where required by law or expressly approved by us.

6.4 PPV Content and Tips

PPV purchases and tips are individual payments made by Fans to Creators through the Platform. Once a transaction has been completed and confirmed, it is generally final, subject to applicable legal rights and our policies on technical errors, fraud, unauthorized transactions, or non-delivery.

6.5 Creator Payouts

Payouts are made only to eligible, verified, and compliant Creator accounts. We may set minimum payout thresholds, payout schedules, rolling reserve periods, processing timelines, and additional eligibility requirements.

We may refuse, delay, suspend, or adjust Creator payouts where we reasonably suspect or identify:

  • fraud or fraud risk;

  • chargebacks or payment disputes;

  • violations of these Terms or Platform policies;

  • incomplete or failed KYC verification;

  • legal, compliance, tax, payment processor, or operational risk.

6.6 Refunds and Chargebacks

Due to the nature of digital content provided through the Platform, all payments are generally final and non-refundable, except where required by law or expressly approved by us, including in cases of proven technical error, fraud, unauthorized payment, or demonstrable non-performance.

In the event of a chargeback, reversal, or payment dispute, we may:

  • investigate the transaction and request additional information;

  • temporarily suspend access to certain Platform features;

  • deduct the disputed amount and associated costs from the Creator's balance;

  • withhold future payouts until the matter is resolved;

  • apply reasonable administrative measures, including account suspension in cases of abuse.

6.7 Taxes

Creators are solely responsible for reporting and paying any taxes, duties, levies, contributions, declarations, or similar obligations arising from income earned through the Platform.

We reserve the right to request tax information, report information to competent authorities where required by law, and withhold or block payouts until the information necessary for legal and tax compliance has been provided, including in the context of platform operator reporting obligations.

  1. INTELLECTUAL PROPERTY

7.1 Creator Rights

Subject to these Terms, Creators generally retain their intellectual property rights in the Content they publish on the Platform.

7.2 License Granted to the Platform

By uploading or publishing Content on the Platform, the Creator grants the Company a non-exclusive, worldwide, royalty-free license, sublicensable only to the extent necessary for the operation of the Service, for the duration that the Content is available on the Platform, to:

  • host, store, process, display, and distribute the Content to authorized users;

  • operate, maintain, improve, secure, and administer the Platform;

  • use previews, trailers, thumbnails, watermarks, and other reasonable technical measures for promotion, security, and anti-piracy purposes;

  • comply with legal and regulatory obligations.

7.3 Platform Rights

All rights in and to the Platform, including its software, source code, design, logos, trademarks, databases, visual elements, and functionality, belong to the Company or its licensors and are protected by applicable law.

You may not copy, reproduce, extract, modify, distribute, decompile, reuse, or otherwise exploit any part of the Platform without prior authorization.

7.4 Intellectual Property Complaints

We respect intellectual property rights and may remove content where we reasonably believe third-party rights have been infringed. We may suspend or terminate the accounts of users who repeatedly infringe copyright or other intellectual property rights.

  1. PRIVACY AND DATA PROTECTION

8.1 Data Protection

We process personal data in accordance with applicable data protection laws, including Regulation (EU) 2016/679 ("GDPR") and relevant national legislation. Details about how we collect, use, store, and protect personal data are set out in our Privacy Policy.

8.2 Categories of Data Processed

Depending on your use of the Platform, we may collect and process, where applicable:

  • identity and contact data;

  • KYC verification data, including identity documents and biometric data where permitted by law;

  • financial and transaction data;

  • technical and usage data;

  • content, messages, and interactions on the Platform;

  • data necessary for legal, tax, payment, or anti-fraud compliance.

8.3 User Rights

To the extent provided by law, you may have the right to request access, rectification, erasure, restriction, portability, or objection in relation to your personal data, as well as the right to lodge a complaint with a competent supervisory authority.

  1. USER CONDUCT

9.1 General Conduct Rules

Users must use the Platform lawfully, honestly, and respectfully. The following is prohibited, including but not limited to:

  • harassing, intimidating, threatening, or abusing other users;

  • sending spam, unsolicited messages, or manipulative communications;

  • circumventing payment systems or attempting to move transactions outside the Platform;

  • using bots, scraping, unauthorized automation, scripts, or tools that interfere with the Platform;

  • creating false accounts, impersonating others, or providing misleading information;

  • using unauthorized or fraudulent payment cards, accounts, or instruments;

  • doxing, publishing personal data, stalking, or engaging in obsessive or abusive conduct.

  1. SUSPENSION, RESTRICTION, AND ACCOUNT TERMINATION

10.1 Our Right to Act

We may suspend, restrict, limit, demonetize, or terminate any account, temporarily or permanently, where we reasonably determine that:

  • these Terms or Platform policies have been violated;

  • prohibited Content has been published or transmitted;

  • there has been fraudulent, abusive, illegal, or suspicious activity;

  • Platform security, other Users, or our relationship with payment processors may be harmed;

  • required verification, including KYC verification, has not been completed;

  • such action is necessary for legal, regulatory, operational, or safety reasons.

10.2 Measures We May Apply

Measures we may apply include, without limitation:

  • issuing a warning;

  • removing or blocking Content;

  • restricting specific features;

  • temporarily suspending the account;

  • suspending monetization or withholding payouts;

  • permanently terminating the account;

  • reporting the matter to authorities, payment processors, or other relevant third parties.

The severity of any measure taken will depend on the nature, seriousness, frequency, and context of the violation.

10.3 Voluntary Account Closure

Users may close their accounts at any time through the available account settings or by contacting support, subject to any outstanding obligations, ongoing investigations, compliance requirements, or legally required retention periods.

10.4 Financial Consequences

In the event of suspension or account termination, we may withhold, delay, or adjust funds to the extent permitted by law in order to cover chargebacks, fraud, disputes, taxes, reasonable contractual penalties, compliance costs, or other legitimate liabilities.

  1. LIMITATION OF LIABILITY

11.1 Service Provided "As Is"

The Platform is provided on an "as is" and "as available" basis, to the fullest extent permitted by law. We do not guarantee that the Platform will operate uninterrupted, error-free, delay-free, secure, or continuously available, or that any Content or feature will remain available at all times.

11.2 Exclusions

To the fullest extent permitted by law, the Company shall not be liable for:

  • Content published by Creators or other Users;

  • loss of revenue, profit, opportunities, business, data, or reputation;

  • interactions, transactions, or disputes between Users;

  • interruptions, delays, cyberattacks, unauthorized access, technical failures, or service unavailability;

  • acts or omissions of third parties, including payment processors, technology providers, or external partners.

11.3 Liability Cap

To the fullest extent permitted by law, the total aggregate liability of the Company to you for any claim arising out of or in connection with these Terms or your use of the Platform shall be limited to the total amount paid by you to the Platform during the 12 months preceding the event giving rise to the claim, or EUR 100, whichever is greater.

Nothing in these Terms excludes or limits any rights that cannot lawfully be excluded or limited.

  1. INDEMNITY

To the extent permitted by law, you agree to defend, indemnify, and hold harmless the Company, its affiliates, directors, officers, employees, consultants, and partners from and against any claims, losses, damages, liabilities, costs, expenses, or demands, including reasonable legal fees, arising out of or in connection with:

  • your breach of these Terms;

  • your violation of applicable law;

  • your infringement of any third-party rights;

  • Content published, transmitted, or monetized by you;

  • your misuse of the Platform.

  1. FORCE MAJEURE

We shall not be liable for any delay, interruption, or failure to perform our obligations where such delay, interruption, or failure results from events beyond our reasonable control, including natural disasters, armed conflict, terrorism, pandemics, network or power outages, cyberattacks, strikes, government action, or the unavailability of essential third-party services.

  1. GOVERNING LAW AND JURISDICTION

14.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of Ireland, except where mandatory consumer protection laws or other mandatory legal provisions in the user's country of residence require a higher level of protection.

14.2 Jurisdiction

To the extent permitted by law, the competent courts of Ireland shall have jurisdiction over any dispute arising out of or in connection with these Terms. If you are a consumer and benefit from mandatory rights under the laws of your country of residence, nothing in these Terms deprives you of those rights.

14.3 Amicable Resolution

Before starting formal legal proceedings, the parties shall attempt in good faith to resolve the dispute amicably through written notice and a reasonable period for review and response.

15.2 Complaints Handling Process

Depending on the nature and complexity of the matter, we may:

  • acknowledge receipt of the report within a reasonable timeframe;

  • request additional information or supporting evidence;

  • investigate the matter and take appropriate action;

  • communicate the outcome of the review and, where legally required, the reasons for our decision;

  • allow access to an internal complaint or appeal channel where required by law or provided under our policies.

15.3 Digital Services Compliance

To the extent applicable under digital services legislation, we may provide mechanisms for reporting illegal content, notices regarding moderation measures, contact channels, and internal complaint procedures in accordance with legal requirements.

  1. FINAL PROVISIONS

16.1 Entire Agreement

These Terms and Conditions, together with the Privacy Policy and any other applicable policies published on the Platform, constitute the entire agreement between you and the Company regarding your use of the Platform.

16.2 Severability

If any provision of these Terms is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.

16.3 No Waiver

Our failure or delay in exercising any right shall not constitute a waiver of that right.

16.4 Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, in connection with a reorganization, merger, asset transfer, change of control, or other corporate transaction.

16.5 Notices

We may provide notices by posting them on the Platform, sending them to the email address associated with your account, or using any other reasonable method of communication.

16.6 Language

The English version of these Terms is the governing version for the Platform where it is presented in English. Any translations are provided for convenience only unless expressly stated otherwise.
