CREATOR AGREEMENT

  1. INTRODUCTION

This Creator Agreement ("Agreement") governs your use of the Platform as a Creator and forms a legally binding agreement between you ("Creator", "you", "your") and NOVAREL SOLUTIONS LIMITED ("Company", "we", "us", "our").

By registering as a Creator, uploading content, or monetizing through the Platform, you confirm that you have read, understood, and agree to be bound by this Agreement, as well as the Terms and Conditions and Privacy Policy.

If you do not agree, you must not use the Platform as a Creator.

  1. COMPANY DETAILS

NOVAREL SOLUTIONS LIMITED is a company incorporated exclusively in Ireland in accordance with the Companies Act 2014.

Any address in Romania associated with the Company is used for correspondence or administrative purposes only and does not constitute a legal establishment.

  1. ELIGIBILITY AND CREATOR STATUS

3.1 Age Requirement

You must be at least 18 years old to register as a Creator. No exceptions apply.

3.2 Legal Capacity

You must have full legal capacity to enter into binding agreements and operate as an independent content creator in your jurisdiction.

3.3 Independent Contractor Status

You act as an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between you and the Company.

You are solely responsible for your business activities, including content creation, pricing, taxes, and compliance with laws.

  1. ACCOUNT AND VERIFICATION

4.1 Creator Account

You must register a Creator account and provide accurate, complete, and up-to-date information.

You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.

4.2 Mandatory KYC Verification

Before monetizing or receiving payouts, you must complete identity verification (KYC), which may include:

  • government-issued ID (passport, ID card, or driver's license);

  • biometric verification (selfie or video);

  • proof of address;

  • tax information;

  • banking or payout details.

We may request additional documents, perform periodic reverification, or suspend your account if verification is incomplete or unsatisfactory.

4.3 Age and Consent Records

You must maintain verifiable records demonstrating that all individuals appearing in your content:

  • are at least 18 years old;

  • have provided explicit, informed consent.

You must provide such records upon request without delay.

  1. CONTENT AND RESPONSIBILITIES

5.1 Ownership and Rights

You represent and warrant that:

  • you own or have all necessary rights to the content you upload;

  • you have the legal right to publish and monetize the content;

  • your content does not infringe any third-party rights.

5.2 Consent and Legality

You must ensure that:

  • all content is produced lawfully;

  • all participants have consented;

  • content complies with all applicable laws and Platform policies.

5.3 Prohibited Content

You must not upload or distribute content that includes:

  • minors or any depiction of persons under 18;

  • non-consensual content;

  • extreme violence or abuse;

  • sexual exploitation or trafficking;

  • illegal acts or prohibited services;

  • any content listed as prohibited in the Terms and Conditions.

Violation may result in immediate account termination and reporting to authorities.

5.4 Content Moderation

We may review, remove, restrict, or demonetize content at our discretion where we reasonably believe it violates this Agreement, our policies, or applicable law.

  1. LICENSE TO THE PLATFORM

By uploading content, you grant the Company a non-exclusive, worldwide, royalty-free license, for the duration that the content is available on the Platform, to:

  • host, store, and display your content;

  • distribute content to paying users;

  • use previews, thumbnails, and promotional materials;

  • operate, improve, and secure the Platform;

  • comply with legal obligations.

This license is limited to Platform operation and does not transfer ownership.

  1. MONETIZATION AND FEES

7.1 Revenue Split

  • You receive: 70% of eligible revenue;

  • Platform fee: 30%.

Revenue includes subscriptions, tips, PPV content, and other monetization features made available on the Platform.

7.2 Pricing

You are responsible for setting pricing for your content, subject to Platform limits and technical constraints.

7.3 Payments and Payouts

Payouts are made only to verified accounts and may be subject to:

  • minimum thresholds;

  • payout schedules;

  • processing times;

  • reserve periods.

7.4 Withholding and Adjustments

We may withhold, delay, or adjust payments in cases of:

  • chargebacks or disputes;

  • fraud or suspected fraud;

  • violations of this Agreement;

  • incomplete verification;

  • legal or compliance requirements.

7.5 Taxes

You are solely responsible for:

  • declaring income;

  • paying all applicable taxes;

  • complying with local tax laws.

We may request tax information or report earnings to authorities where required by law.

  1. USER INTERACTIONS

8.1 Relationship with Fans

You are solely responsible for your interactions with fans, including:

  • communication;

  • content delivery;

  • expectations and representations.

We are not a party to any direct relationship between you and your fans.

8.2 Prohibited Conduct

You must not:

  • solicit payments outside the Platform;

  • mislead users;

  • engage in harassment or abusive conduct;

  • manipulate Platform systems.

  1. INTELLECTUAL PROPERTY

9.1 Your Rights

You retain ownership of your content, subject to the license granted to the Platform.

9.2 Platform Protection

You may not:

  • copy or exploit the Platform’s technology;

  • reverse engineer or misuse Platform systems.

  1. SUSPENSION AND TERMINATION

10.1 Grounds for Suspension

We may suspend or terminate your account if:

  • you violate this Agreement or Platform policies;

  • you publish prohibited content;

  • you engage in fraud or abuse;

  • you fail verification;

  • required by law or compliance.

10.2 Immediate Termination

Immediate termination may occur for serious violations, including:

  • content involving minors;

  • trafficking or exploitation;

  • severe illegal activity.

10.3 Financial Impact

Upon suspension or termination:

  • payouts may be withheld;

  • balances may be adjusted;

  • access to earnings may be restricted.

  1. LIABILITY

11.1 No Guarantee

We do not guarantee:

  • earnings;

  • traffic;

  • subscriber growth.

11.2 Limitation

To the extent permitted by law, our liability is limited to the greater of:

  • the amount paid to you in the last 12 months; or

  • 100 EUR.

  1. INDEMNIFICATION

You agree to indemnify and hold harmless the Company against any claims arising from:

  • your content;

  • your legal violations;

  • your breach of this Agreement;

  • third-party claims related to your activity.

  1. DATA PROTECTION

We process your personal data in accordance with our Privacy Policy.

You agree that your data may be processed for:

  • identity verification;

  • payments and compliance;

  • fraud prevention;

  • legal obligations.

  1. FORCE MAJEURE

We are not liable for failure or delay caused by events beyond our control, including technical failures, cyberattacks, or third-party service disruptions.

  1. GOVERNING LAW

This Agreement is governed by the laws of Ireland, subject to mandatory protections applicable in your jurisdiction.

  1. FINAL PROVISIONS

16.1 Entire Agreement

This Agreement forms part of the full legal framework together with the Terms and Conditions and Privacy Policy.

16.2 Severability

If any provision is invalid, the rest remain in force.

16.3 Assignment

We may transfer this Agreement as part of a business transaction.

16.4 Updates

We may update this Agreement as needed. Continued use of the Platform constitutes acceptance.
